This Client Service Agreement ("Agreement") is entered into between PostShop ("we," "us," or "our"), and the individual or business entity subscribing to our services ("Client," "you," or "your"). By checking the consent box and completing payment, you agree to be bound by these terms.

Section 1Services Provided

PostShop provides a managed social media content creation and publishing service. We create, schedule, and publish social media posts on your behalf based on photos, videos, and text you submit to your dedicated PostShop phone number.

Our services include:

PostShop's services are limited to those specifically described in this Agreement. Services not explicitly included, such as community management, direct message handling, comment moderation, paid advertising, social media strategy consulting, or account setup, are outside the scope of this Agreement and are not provided unless separately agreed to in writing.

Section 2Subscription Plans

Your subscription plan determines the number of posts published per day. All plans support posting to any of our supported platforms. There is no limit on the number of platforms you connect, and no additional charge for adding platforms. Plan details and pricing are presented during checkout.

Your selected plan is confirmed during the intake process. You may upgrade or downgrade your plan at any time by contacting us. Plan changes take effect at the start of the next billing cycle.

Section 3Billing & Payment

Automatic Renewal. Your subscription begins on the date you complete payment and automatically renews on the same date each month at your plan's monthly rate until you cancel. By subscribing, you authorize us to charge your payment method on file each month on your renewal date.

Payment Method. Payment is processed through our payment processor. We accept major credit cards and debit cards. You are responsible for keeping your payment information current. If your payment method fails, we will attempt to process the charge again. If payment cannot be collected after reasonable attempts, your service will be paused until payment is resolved.

Price Changes. We will provide at least 30 days' written notice before any increase to your subscription rate. The new rate will take effect at the start of the billing cycle following the notice period. You may cancel before the new rate takes effect.

No Refunds. Subscription fees are non-refundable. If you cancel mid-cycle, your service continues through the end of the current billing period, but no refund or proration is issued for the remaining days.

Section 4Cancellation

How to Cancel. You may cancel your subscription at any time by contacting us via text message to your PostShop number, by email, or through any online cancellation method we make available. Cancellation is available through the same medium used to sign up, as required by California law.

When Cancellation Takes Effect. Cancellation takes effect at the end of your current billing period. Your posts will continue to publish through the end of the period you have already paid for. No refund or proration is provided for the remaining days in the billing period.

Immediate Stop Option. If you want all posting to stop immediately upon cancellation rather than continuing through the end of the billing period, you must request this explicitly in writing, via text or email. Otherwise, we will continue publishing through the end of your paid period.

Annual Renewal Reminder. If your subscription remains active for 12 consecutive months, we will send you a renewal reminder before your next billing cycle, as required by California law. This reminder will include your current rate, renewal date, and instructions for cancellation.

Section 4aRight to Refuse or Terminate Service

PostShop reserves the right to refuse service to any prospective client at our sole discretion, with or without cause, and without obligation to provide a reason. PostShop also reserves the right to terminate any active subscription at our sole discretion, with or without cause, upon written notice to the client via text message or email.

Section 6Content Ownership & License

Your Content. You retain full ownership of all photos, videos, and other content you submit to PostShop. We do not claim ownership of your content.

License to PostShop. By submitting content to PostShop, you grant us a limited, non-exclusive, revocable license to use, edit, and publish your content on your social media accounts as part of delivering our services. This license exists solely for the purpose of fulfilling your subscription and terminates when your subscription ends.

Captions & Generated Content. Captions and other text content generated by PostShop as part of your service become your property upon publication. You are free to reuse, modify, or repurpose any captions we create for you.

Portfolio Use. We may use published posts, including photos and captions, as examples in our portfolio, website, or marketing materials, unless you notify us in writing that you do not want your content used in this way. We will honor any such request within 7 days.

Section 7Social Media Account Access

To publish posts on your behalf, we require access to your social media accounts. After payment, we will send you a secure authorization link for each platform you selected. You tap the link, log into your account, and approve access. No passwords are shared with PostShop. You can revoke access at any time through your platform's settings.

We will not modify your account settings, profile information, bio, or any other account details without your explicit permission. Our access is limited to creating and publishing posts.

You are responsible for maintaining the access you have granted us. If you revoke our access or delete your account on any platform, posting to that platform will be interrupted. If posts are missed due to an access issue on your end, those posts are not carried over to future billing periods. Please notify us promptly if your access changes so we can restore service.

Upon cancellation, we will disconnect from your social media accounts within 30 days.

Section 8Content Review & Approval

All content is screened for brand appropriateness and quality before publishing. During onboarding, you may opt into pre-publish approval, which requires you to review and approve every post before it goes live. Pre-publish approval clients may reply APPROVE to publish a post or REJECT to have the caption rewritten.

If you do not opt into pre-publish approval, posts will publish automatically after screening. If a published post does not meet your expectations, you may text FEEDBACK followed by your concern to your PostShop number. We will review your feedback and address it within 48 hours, including removing or replacing the post if necessary.

Regardless of your preference, you may request changes to any post at any time. If a post has already been published, we will make reasonable efforts to edit or remove it promptly.

Section 8aHow We Handle Your Submissions

Each text message you send to your PostShop number becomes one post that PostShop publishes across your connected social media platforms. Because each platform has its own rules about what it accepts, PostShop automatically applies the following handling rules.

One submission, one post. Each text you send becomes a single post distributed across your connected platforms. If you want to combine multiple texts (for example, a photo, a video, and a caption sent separately) into a single post, you may use the BUNDLE command detailed on your welcome page.This should also be used when sending more than 10 images in a single text.

Photo formatting. PostShop automatically sizes your photos to match each platform's preferred display dimensions. We do not crop your photos — the full image is always shown. If a photo's aspect ratio does not match a platform's preferred ratio, neutral padding is added around the image rather than cropping any part of it out.

Pinterest. PostShop publishes one pin per photo you submit. Videos are published to Pinterest only when the source video meets Pinterest's strict technical requirements (which Pinterest sets and may change at any time). If a video does not meet those requirements, PostShop skips only the Pinterest pin for that video; all your other connected platforms still receive the content.

YouTube. PostShop publishes videos to YouTube. Submissions that contain only photos are not posted to YouTube. YouTube receives one video per submission; if you submit multiple videos in a single post (via BUNDLE), only the first video is published to YouTube.

TikTok, Facebook, LinkedIn, and X/Twitter. These platforms do not accept a mix of photos and videos in a single post. When you submit mixed content, PostShop publishes your photos to these platforms rather than the video. If you submit multiple videos without photos, the first video is published.

Instagram and Threads. These platforms accept a mix of photos and videos. When you submit mixed content, PostShop publishes all your photos and videos together as a single carousel post (up to twenty items total).

Photo enhancement (Authority plan). For clients on the Authority plan, PostShop applies light automatic image enhancement (calibrated adjustments to brightness, color, and contrast) to improve photo quality while preserving the original composition and style of each image.

Multilingual captions (Growth and Authority plans). For clients on the Growth or Authority plan who select additional languages during onboarding, each caption is generated in your primary language plus up to two additional languages, stacked together in a single post caption across all platforms.

You acknowledge and agree that these handling rules apply to all submissions and form part of the service you are purchasing. PostShop may adjust these rules from time to time to reflect changes in platform capabilities; if we make a material change to how your submissions are handled, we will notify you under the terms of Section 15.

Section 9Content Guidelines & Safety

PostShop reserves the right to decline to publish any content that, in our reasonable judgment:

If we decline to publish submitted content, we will notify you and explain the reason. Declined content does not count toward your daily post allotment, and you may submit replacement content.

Section 9aCopyright Policy & DMCA Notices

PostShop respects the intellectual property rights of others and expects clients to do the same. We respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act of 1998 (17 U.S.C. § 512) ("DMCA"). This Section explains how to report material you believe infringes your copyright, how to respond if your content is removed, and our policy toward repeat infringers.

Reporting Alleged Infringement. If you believe content published or processed through PostShop infringes a copyright you own or control, you may submit a written notice to our Designated Copyright Agent identified below. To be effective under the DMCA, your notice must include all of the following:

Under 17 U.S.C. § 512(f), any person who knowingly and materially misrepresents that material is infringing may be liable for damages. If you are unsure whether material infringes your rights, you may wish to consult an attorney before submitting a notice.

Designated Copyright Agent. Notices of claimed infringement must be directed to our Designated Copyright Agent:

Upon receipt of a valid notice, we will act expeditiously, using the means reasonably available to us, to remove or disable access to the material identified. Depending on where the material was published, this may include removing the material through our publishing tools on platforms that support such removal, deleting any copy of the material stored on our own systems, and, where direct removal through our tools is not technically available, promptly notifying and directing the client who submitted the material to remove it from their connected account. We will also take reasonable steps to prevent the same material from being re-published through our service, and where applicable will take reasonable steps to notify the client who submitted the material.

Counter-Notification. If your content was removed or disabled and you believe the removal resulted from mistake or misidentification, you may submit a written counter-notification to our Designated Copyright Agent. To be effective, a counter-notification must include all of the following:

If we receive a valid counter-notification, we may restore the removed material in not less than 10 and not more than 14 business days following receipt, unless our Designated Copyright Agent first receives notice that the original complaining party has filed an action seeking a court order to restrain the allegedly infringing activity.

Repeat Infringers. In accordance with the DMCA and other applicable law, PostShop maintains a policy of terminating, in appropriate circumstances, the accounts of clients who are determined to be repeat infringers of the intellectual property rights of others. PostShop may also, in its sole discretion, suspend service to or remove content from any client who infringes the intellectual property rights of others, whether or not a repeat infringement has occurred.

Section 10No Performance Guarantees

PostShop provides a content creation and publishing service. We do not guarantee any specific outcomes, including but not limited to a specific number of followers, likes, comments, shares, or other engagement metrics; increased revenue, leads, customers, or business inquiries; any particular ranking or visibility in search results or social media algorithms; or that any individual post will perform at a certain level.

Social media performance depends on many factors outside our control, including platform algorithms, audience behavior, market conditions, and the quality and frequency of content you submit. We will work diligently to create high-quality, consistent content, but results vary.

Section 10aPlatform Limits & Publishing Failures

PostShop publishes to social media platforms through third-party API providers and is therefore subject to the rate limits, quotas, and policies of those platforms and our upstream providers. Some publishing failures are outside PostShop's control. These include platform-imposed rate limits or temporary holds applied to your individual account, account-level restrictions imposed by the platform (such as posting holds on new or unverified accounts, content policy enforcement actions, or account-type requirements for API publishing — for example, certain platforms only permit API publishing from Business or Creator accounts), platform outages or API changes, and capacity constraints of PostShop's upstream API providers.

PostShop does not monitor the delivery status of individual posts on individual platforms. Our publishing pipeline submits each post to your connected platforms through our upstream API provider, and from that point forward, the success or failure of any individual post is governed by the platform and our provider. PostShop is not obligated to detect, investigate, notify you of, retry, credit, or remediate publishing failures of any kind, including failures that result in a post not appearing on one or more of your connected platforms. If you become aware of a missed post and notify us, we will use reasonable efforts to investigate, but no specific outcome is guaranteed. Missed posts do not carry over to future billing periods, and PostShop is not liable for any consequences arising from a post that fails to publish.

Section 11Limitation of Liability

To the fullest extent permitted by law, PostShop's total liability to you for any claims arising out of or related to this Agreement or our services shall not exceed the total fees you have paid to PostShop in the three (3) months immediately preceding the event giving rise to the claim.

In no event shall PostShop be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, whether arising from contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

PostShop is not responsible for any actions taken by social media platforms, including but not limited to account suspensions, content removals, algorithm changes, or policy updates that may affect the reach or visibility of your posts.

Section 12Indemnification

You agree to indemnify, defend, and hold harmless PostShop and its owners, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) content you submit to PostShop that infringes on the intellectual property or other rights of any third party, including any claim that the content infringes a copyright, trademark, or right of publicity, or that it was captured, used, or published without a required license, release, or consent; (b) your breach of any term of this Agreement; or (c) any misrepresentation by you regarding your authority to grant access to your social media accounts or to use the content you submit. This obligation survives the termination of your subscription.

Section 13Privacy & Data

Your privacy is important to us. Please review our Privacy Policy for complete details on how we collect, use, store, and protect your personal information.

We collect and store the following information as part of providing our services: your name, business name, contact information, and location; photos, videos, and text you submit to your PostShop number; voice and tone profile information from your onboarding intake form; payment information, which is processed and stored securely by our payment processor and does not include full card numbers in our systems; and consent records, including timestamp at the time of agreement.

We use your information solely for the purpose of delivering and improving our services. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All categories of personal information exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties or affiliates. We do not sell, rent, or share your personal information for marketing or promotional purposes. We use third-party service providers only to the extent necessary to operate the service.

We retain your consent records, including your agreement to these terms and timestamp, for three years or one year after your subscription ends, whichever is longer, as required by California law. Upon cancellation, we will disconnect from your social media accounts within 30 days. Your submitted content and post history will be retained for 90 days after cancellation to allow for any disputes or questions, after which it will be permanently deleted unless you request earlier deletion.

Section 13aSMS Messaging Terms

By providing your phone number to PostShop during signup and checking the SMS consent box, you agree to these SMS terms, which are in addition to and consistent with our Privacy Policy.

Consent. You expressly consent to receive recurring automated and manually-sent service-related text messages from PostShop at the phone number you provided. Consent is not a condition of any purchase.

Service Messages. PostShop will send you transactional and service-related text messages, including welcome confirmations, submission receipt confirmations (confirming we received your photo or video), post-approval requests, account notifications such as payment reminders and plan changes, and inactivity reminders. PostShop does not send marketing, promotional, third-party, or affiliate content via SMS.

Message Frequency. Message frequency varies based on your account activity and review preferences. Typical usage is fewer than 10 messages per client per month.

Opt-Out (STOP). You may opt out of text messages at any time by replying STOP to any message from your PostShop number. After you send STOP, we will send one final confirmation message and then cease all non-essential SMS communication to that number. Opting out of text messages does not cancel your subscription or stop us from publishing posts on your behalf — it only stops outbound text notifications. To cancel your subscription, see Section 4 of these terms.

Help (HELP). For help, reply HELP to any message from your PostShop number, or email us at hello@postshop.live.

Message and Data Rates. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Consult your mobile carrier for details.

Supported Carriers. SMS service is available on major U.S. carriers, including AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, and other participating carriers.

Mobile Information Sharing. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All categories of personal information exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties or affiliates. See our Privacy Policy for full details on how we handle your information.

Section 14Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, social media platform outages or policy changes, power failures, cyberattacks, pandemics, or other events of similar nature. If a force majeure event continues for more than 30 consecutive days, either party may terminate this Agreement upon written notice.

Section 15Modifications to These Terms

We may update these terms from time to time. If we make material changes, we will notify you at least 30 days before the changes take effect, via text message or email. Your continued use of the service after the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree with the updated terms, you may cancel your subscription before they take effect. No amendment to these terms shall be effective unless communicated in writing.

Section 16Governing Law & Dispute Resolution

Governing Law. This Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions.

Informal Resolution First. Before initiating arbitration or any formal proceeding, both parties agree to first attempt to resolve any dispute informally. To begin, you must send a written description of the dispute to hello@postshop.live, and PostShop will send any notice to the contact information on file for your account. Both parties agree to negotiate in good faith for at least 30 days from the date the notice is received. If the dispute is not resolved within that period, either party may proceed as described below.

Binding Arbitration. Except for the matters described under "Exceptions" below, any dispute, claim, or controversy arising out of or relating to this Agreement or the PostShop service — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — that is not resolved informally shall be resolved exclusively by final and binding arbitration, rather than in court. The arbitration shall be administered by JAMS under its rules then in effect (the JAMS Streamlined Arbitration Rules for disputes of US$250,000 or less, and the JAMS Comprehensive Arbitration Rules for larger disputes), as modified by this Agreement. The arbitration shall take place in Los Angeles County, California, or, at your election, by telephone, by video, or based solely on written submissions where the rules permit. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable. Judgment on the award may be entered in any court having jurisdiction.

Class Action and Jury Trial Waiver. You and PostShop agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. You and PostShop also waive any right to a trial by jury. If a court decides that applicable law prevents enforcement of any part of this paragraph as to a particular claim or request for relief, then that claim or request (and only that claim or request) shall be severed and may be brought in court, while all other claims shall remain subject to arbitration.

Mass and Coordinated Arbitration. If 25 or more similar demands for arbitration are submitted against PostShop by or with the assistance or coordination of the same or coordinated counsel, or in a coordinated manner, the parties agree these demands shall be administered in staged batches of no more than 50 demands at a time, with a single set of filing and administrative fees per batch and one arbitrator per batch, to promote efficiency and control costs. The parties shall cooperate with JAMS and one another in good faith to implement this batching process and may use a bellwether or test-case approach before the remaining demands proceed. Any applicable statute of limitations shall be tolled for demands awaiting their batch.

Exceptions. Nothing in this Section prevents either party from (a) bringing an individual claim in a small claims court of competent jurisdiction, or (b) seeking injunctive or other equitable relief in a court of competent jurisdiction located in Los Angeles County, California, to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or to enforce confidentiality obligations. For any matter not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

Your Right to Opt Out of Arbitration. You may opt out of the arbitration and class-action waiver provisions of this Section by sending written notice of your decision to opt out to hello@postshop.live within 30 days after you first accept this Agreement. Your notice must include your name, the email and phone number associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, or if the arbitration agreement is found not to apply to you, you and PostShop agree to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, for all disputes. Opting out of arbitration has no effect on any other part of this Agreement.
